The Sunderland sofa chain that has advertised on British daytime television since the 1970s, Sofa Carpet Specialists, trading since 1974, is being absorbed into its new Italian owner, and the website now trades as "poltronesofà at ScS". In October 2023 the Italian sofa giant Poltronesofà agreed to buy the London-listed ScS Group for £99.4 million, at 280 pence a share. The deal completed and ScS delisted from the stock market on 31 January 2024. What was a straightforwardly British sofa retailer is now the UK shopfront of an Italian manufacturer, mid-rebrand.

In my view, the fair reading is the same one that applies across the mid-market: ScS builds a competent sofa and finances it over a term longer than the comfortable life of its foam. The frame will outlast the credit agreement. The seat you sit on may not.

The Italian Job

The bit most reviews don't address: ScS spent 2023 and 2024 on both sides of the same transaction, buying a brand and killing it, then being bought itself. The pattern tells you more about mid-market sofas than any cushion ever could.

Start with Snug. In January 2023, ScS bought the sofa-in-a-box pioneer Snug out of administration for £875,000, acquiring the brand, website, stock and intellectual property and securing the jobs. Snug was the genuinely different thing in ScS's cupboard: fast delivery, flat-pack-free assembly, a young direct-to-consumer audience the sofa chains struggle to reach.
